These terms of use are entered into by and between you and NYC Building Intelligence ("Company," "we," or "us"). The following terms and conditions ("Terms") govern your access to and use of our website, including any content, functionality, and services offered on or through our platform (the "Services"), whether as a guest or a registered user.

By using the Services, or by clicking to accept or agree to the Terms when this option is made available to you, you accept and agree to be bound and abide by these Terms and our Privacy Policy. If you do not want to agree to these Terms or the Privacy Policy, you must not access or use the Services.

Changes to Terms

We may revise and update these from time to time in our sole discretion. All changes are effective immediately when we post them. Your continued use of the Services following the posting of revised Terms means that you accept and agree to the changes.

Account

You need to create an account. You create an account by providing us with an email address and creating a password. We encourage you to use a distinct and non-obvious password that is different from passwords you use for any other service. You are responsible for maintaining the accuracy, completeness and confidentiality of your password, and you will be responsible for all activities that occur under your account.

Use License

Some of our Services allow you to download client software which may update automatically. So long as you comply with these Terms, we give you a limited, nonexclusive, nontransferable, revocable license to use the Software, solely to access the Services.

Intellectual Property Rights

The Services and its entire contents, features, and functionality are owned by the Company, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

Children Under 16

Our Services are not directed to children under the age of 16. We do not knowingly collect personal information from minors without parental consent.

Prohibited Uses

You may use the Services only for lawful purposes and in accordance with these Terms. You agree not to use the Services in any way that violates any applicable federal, state, local, or international law or regulation.

Billing

We will automatically bill you from the date you register for an Account and on each periodic renewal until cancellation. You are responsible for all applicable taxes.

Cancellation

You may cancel your Account at any time. Refunds are only available if required by law.

Termination

You are free to stop using our Services at any time. We reserve the right to suspend or terminate your access to the Services with notice to you if we reasonably believe you are in breach of these Terms.

Services "AS IS"

TO THE FULLEST EXTENT PERMITTED BY LAW, WE MAKE NO WARRANTIES, EITHER EXPRESS OR IMPLIED, ABOUT THE SERVICES. THE SERVICES ARE PROVIDED "AS IS." WE ALSO DISCLAIM ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, OR ANY LOSS OF USE, DATA, BUSINESS, OR PROFITS, REGARDLESS OF LEGAL THEORY.

Controlling Law

These Terms will be governed by Delaware law except for its conflicts of laws principles.
